Terms of Service

The rules for using Auri. Plain English first, lawyer-grade where it has to be.

These Terms govern the relationship between Maciej Adamski Sp. z o.o. ("Auri", "we", "us") and the customer ("Customer", "you") for the Auri hotel SPA management system. By signing a Service Agreement or using the Service, the Customer accepts these Terms. Tier, price, and scope live in a separate Service Agreement — that document supersedes anything ambiguous here.

What you get

Auri is delivered as a private, single-tenant deployment. Each Customer receives:

— A dedicated Google Cloud project hosting the application and database.
— A dedicated subdomain (typically spa.{customer-domain}).
— A dedicated database instance — data is never shared between Customers.
— The Auri application: booking management, resource scheduling, payment integration, PMS integration, multi-language support, analytics.
— Application updates throughout the subscription period.

Feature scope, integrations, and customisation included in your plan are listed in the Service Agreement.

Subscription and renewal

Subscriptions bill monthly or annually as agreed. Annual plans auto-renew unless either party gives written notice 30 days before renewal. Monthly plans auto-renew month-to-month and can be cancelled with 30 days' notice.

Renewal pricing reflects then-current published rates. Existing Customers get 60 days' notice of any price change affecting their next renewal.

Payment

Implementation fees follow the schedule in the Service Agreement (typically 50% on signing, 50% on go-live).

Subscription fees are billed monthly or annually in advance. Net 14 days from invoice date.

Currencies: EUR, USD, GBP via Stripe; AED, SAR, USD via Tap for GCC. Other currencies by bank wire on request.

Late payments accrue 1.5% monthly interest where allowed by law, plus reasonable collection costs.

Cancellation and termination

Either party may terminate for material breach with 30 days' written notice and a chance to cure. Either party may terminate for convenience at any time, effective at the end of the current billing period (no pro-rata refund).

On termination, Customer data is exported in machine-readable form (PostgreSQL dump + asset archive) within 30 days. Auri keeps a working copy for 90 days for handover then permanently deletes it.

The export does not include Auri application source code or proprietary algorithms.

Liability

Auri's total liability under these Terms is capped at the fees paid by the Customer in the 12 months preceding the event giving rise to the claim.

Auri is not liable for indirect, consequential, or punitive damages, lost profits, lost revenue, or business interruption — except where such limitation is prohibited by applicable law.

Auri is not liable for outages or data loss caused by:
— Customer misconfiguration.
— Third-party services (PMS, payment processors, notification providers) outside Auri's control.
— Force majeure events.
— Customer-initiated data deletion.

Auri maintains daily database snapshots with 30-day retention as a baseline.

Uptime and maintenance

Auri targets 99.5% monthly uptime, measured by external monitoring. Scheduled maintenance is announced 7 days in advance. Emergency maintenance may proceed without notice when required for security or critical stability.

Enterprise-tier Service Level Agreements with credit mechanisms are documented separately in the Service Agreement when negotiated.

Governing law

These Terms are governed by the laws of Poland. Disputes fall under the exclusive jurisdiction of the courts of Warsaw, Poland.

For Customers in the United Arab Emirates and the broader GCC region, the Service Agreement may specify alternative governing law (typically UAE federal law or DIFC) and jurisdiction (typically DIFC Courts or UAE Federal Courts). Where the Service Agreement specifies otherwise, the Service Agreement supersedes this section.

Changes to these Terms

Auri may update these Terms occasionally. Material changes are notified by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The current version always lives at this URL.

Privacy or data-subject request

Email privacy@auri-system.com. We acknowledge within 2 business days and respond in full within 30 days, per GDPR Art. 12(3).
